1. INTELLECTUAL PROPERTY OWNERSHIP & RESERVATION OF RIGHTS

1.1 Defined Terms. For the purposes of these Terms of Use, "the Company" refers collectively to Nexus Live Events, trading as "NexusLive" and the acronym "NLE". "Proprietary Materials" refers to all content featuring on this website, including but not limited to text, graphics, logos, event names, branding, sub-branded identities, imagery, audio-visual materials, source code, website layouts, design interfaces, and proprietary operational frameworks or event management methodologies.

1.2 Ownership. All Proprietary Materials are the exclusive property of the Company, its joint-venture partners, or its licensors, and are protected under international copyright treaties, the Copyright, Designs and Patents Act 1988, and all applicable intellectual property laws.

1.3 Common Law & Passing Off. Notice is hereby given that the Company asserts full proprietary rights over all unregistered trade marks, trade dress, sub-brands, and operational layouts associated with its event portfolios. The absence of a registered trade mark symbol (®) does not constitute a waiver of the Company’s rights; all assets are strictly protected under UK Common Law and the law of Passing Off. Any unauthorised imitation, adaptation, or reproduction constitutes an actionable tort. 
 
2. PERMITTED USE AND RESTRICTIONS

2.1 Limited Licence. The Company grants users a limited, revocable, non-transferable, and non-exclusive licence to access this website and share unedited direct URLs strictly for informational, non-commercial purposes, subject to explicit attribution to Nexus Live Events.

2.2 Prohibited Activities. Users are expressly prohibited from executing the following actions without the prior, express written authorisation of a director of the Company:

2.2.1 Commercial Exploitation: Commercial exploitation, corporate syndication, duplication, data scraping, or reproduction of any Proprietary Materials or operational frameworks relating to our events.

2.2.2 Deceptive Affiliation: Any use of the Company’s nomenclature, acronyms, or event identities in a manner calculated to deceive the public, cause confusion, or falsely imply a formal corporate affiliation, endorsement, or partnership.
 
3. WARRANTIES, LIABILITY, AND ALTERATIONS

3.1 Content Accuracy. While the Company endeavours to maintain the accuracy of information across its digital estate and sub-branded event platforms, all materials are provided on an "as is" and "as available" basis. Event metrics, scheduling, performance lineups, and ticketing tiers are subject to fluid operational changes.

3.2 Exclusion of Liability. To the maximum extent permitted by applicable law, the Company, its directors, and its partners accept no liability for any direct, indirect, incidental, or consequential loss, financial damage, travel disruption, or disappointment arising from reliance upon the content of this website, or resulting from amendments, cancellations, or modifications to scheduled events.

3.3 Right to Modify. The Company reserves the unilateral right to amend, restrict, or delete any content, layouts, or permissions on this website at any time without prior notice.
 
4. THIRD-PARTY LINKS AND EXTENSION OF PLATFORMS

4.1 External Domains. This website may contain hyperlinks to external web domains operated by third parties, including official ticketing suppliers and partners. The Company exercises no editorial or operational control over third-party domains and assumes no legal liability for their content, compliance frameworks, or transaction safety.

5.1 Indemnification Clause. 6.2 Venue. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising under these Terms.
